TERMS OF USE FOR MUSICCLUB - SOCIAL PLATFORM

These Terms of Use ("Terms") govern your access to and use of the MusicClub social platform ("MusicClub" or "Platform"), including any content, features, and services provided through the Platform. By accessing or using MusicClub, you agree to be bound by these Terms, which constitute a legally binding agreement between you and MusicClub.

1.   Acceptance of Terms

By accessing or using MusicClub, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use MusicClub.

2.   Use of the Platform

MusicClub is intended for personal, non-commercial use only. You may not use MusicClub for any commercial purpose without our prior written consent.

3.   User Content

You are solely responsible for any content that you upload, post, or otherwise make available on MusicClub ("User Content"). By uploading User Content, you represent and warrant that you have all necessary rights to do so and that your User Content does not infringe any third-party rights.

4.   License to User Content

By uploading User Content to MusicClub, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with MusicClub and MusicClub's business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

5.   Prohibited Conduct

You agree not to:

·      Use MusicClub in any way that violates any applicable federal, state, local, or international law or regulation;

·      Use MusicClub to impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with any person or entity;

·      Upload, post, or otherwise make available any User Content that is unlawful, defamatory, obscene, pornographic, or otherwise objectionable;

·      Use MusicClub to upload, post, or otherwise make available any viruses, Trojan horses, or other harmful code;

·      Interfere with or disrupt the integrity or performance of MusicClub or any related software, hardware, or systems; or

·      Access or use MusicClub in a manner that exceeds or circumvents our technical or security capabilities.

6.   Intellectual Property

MusicClub and its services, including all content, features, and functionality (including but not limited to all information, software, text, displays, images, graphics, logos, video, and audio) are the property of MusicClub or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any of our trademarks, service marks, or logos without our prior written consent.

7.   Termination

We may terminate or suspend your access to MusicClub at any time, without notice and without liability, for any reason, including if you violate these Terms of Use. Upon termination, you must immediately cease all use of MusicClub.

8.   Indemnification

You agree to indemnify and hold harmless MusicClub and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your use of MusicClub or any violation of these Terms of Use.

9.   Disclaimers

MusicClub is provided on an "as is" and "as available" basis, without any warranties of any kind, express or implied. We do not warrant that MusicClub will be error-free or uninterrupted. We also do not guarantee the accuracy, completeness, or usefulness of any content on MusicClub.

10.  Limitation of Liability

In no event shall MusicClub or its affiliates, officers, agents, or employees be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of MusicClub or any content or services provided by MusicClub.

11.  Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the jurisdiction in which MusicClub operates.

12.  Changes to Terms of Use

We reserve the right to update or modify these Terms of Use at any time, without notice and without liability. Your continued use of MusicClub after any such changes shall constitute your acceptance of the revised Terms of Use.
